Deposits, onboarding fees, setup fees, and consulting fees are non-refundable
All marketing work, design work, time investment, and active monthly services are non-refundable
Late or missed payments may delay or pause your Services
If on recurring billing, you authorize us to automatically charge your selected payment method
No refunds will be issued for:
Completed services
In-progress services
Active marketing campaigns
Platform ad spend
Strategy or consulting time
5. Client Responsibilities
To ensure proper service delivery, clients must:
Provide accurate access, logins, assets, and project details
Supply legally owned or licensed content, text, images, and materials
Respond promptly to communications and approval requests
Keep all billing information up to date
Follow platform rules for advertising (Google, Meta, TikTok, etc.)
Any delay from the client can extend timelines and may affect performance.
6. Deliverables & Revisions
All deliverables will be submitted for review before final approval.
Revisions included depend on the package or project scope
Additional revisions or scope changes may incur extra fees
Once approved, post-approval changes are billed separately
We are not responsible for issues caused by third-party changes, edits, or platform issues
Marketing results are influenced by many external factors — we do not guarantee any specific results.
7. Intellectual Property
All materials created by The MBC Group, LLC (designs, assets, strategies, funnels, systems, etc.) remain our intellectual property until full payment is received.
After payment:
You receive rights to the final approved deliverables for your business use
We retain the right to display non-confidential work in our portfolio, marketing, and case studies unless otherwise agreed in writing
8. Disclaimer of Warranties
Our Services are provided “as is” and “as available.” We make no guarantees regarding:
Lead volume, sales, conversions, or revenue
SEO rankings or long-term search performance
Advertising performance
Platform behavior (Google, Meta, TikTok, etc.)
Any business outcome or financial result
Marketing involves risk and depends on numerous external variables.
9. Limitation of Liability
To the fullest extent allowed by Colorado law, The MBC Group, LLC is NOT liable for:
Lost revenue, lost opportunities, or business interruption
Data loss or system downtime
Indirect, incidental, punitive, or consequential damages
Our total liability will not exceed the amount paid to us in the three (3) months preceding the claim.
10. Termination
Either party may terminate Services with written notice.
Upon termination:
All outstanding payments become immediately due
Work completed or in progress remains payable
Access to accounts, files, systems, or platforms may be revoked
No refunds are issued for partially completed or active services
We may terminate services immediately for non-payment, abusive behavior, or violation of these Terms.
11. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Any disputes shall be resolved in the appropriate courts located in Denver County, Colorado.
